The agreement that governs your access to the Axion Stride website and the use of our consulting, training, and growth services.

Section 01

Acceptance of These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Axion Stride Ltd ("Axion Stride", "we", "us", or "our"), a consulting and training organization headquartered in Lagos, Nigeria. These Terms govern your access to and use of the Axion Stride website at axionstride.com (the "Website") and any services, products, programs, training courses, and content made available through it (collectively, the "Services").

By accessing the Website, creating an account, submitting an inquiry, registering for a program, or engaging us for any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease use of the Website and the Services.

If you are entering into these Terms on behalf of an organization, company, government entity, or other legal person, you represent and warrant that you have the authority to bind that organization to these Terms, and the term "you" will refer to both you individually and the organization you represent.

Section 02

Eligibility and User Representations

You must be at least 18 years of age to use the Website and the Services, or the age of majority in your jurisdiction of residence, whichever is higher. By using the Services, you represent and warrant that:

  • You are of legal age and possess the full legal capacity to form a binding contract under the laws of your jurisdiction.
  • All information you provide to us, including contact details, payment information, and organizational details, is true, accurate, current, and complete.
  • Your use of the Services does not violate any applicable law, regulation, or the rights of any third party.
  • You are not located in a jurisdiction that is subject to sanctions, embargoes, or export restrictions that would prohibit your access to the Services.
Section 03

Description of Services

Axion Stride provides a range of professional services and programs, including but not limited to: business consulting and advisory; digital marketing and branding; digital skills training and capacity building; management and leadership training; reel video and short-form content production; creative and media production; content and thought leadership development; web and digital product solutions; AI and automation implementation; public relations and communications; startup and SME support; and monitoring, evaluation, and impact reporting (MEL).

Services may be delivered in person, virtually, through recorded digital content, or in a hybrid format as agreed in the relevant engagement letter, proposal, invoice, or enrollment agreement (each a "Client Agreement").

Where a Service is governed by a separate signed Client Agreement, the terms of that agreement shall take precedence over these Terms to the extent of any conflict. In the absence of a signed Client Agreement, these Terms shall apply to any engagement, including engagements accepted through email, quotation, invoice, or payment.

We reserve the right to add, modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also place limits on the features or content available through the Website.

Section 04

Proposals, Quotations, and Engagement Formation

Any quotation, proposal, or estimate provided by Axion Stride is an invitation to treat and does not constitute a binding offer until we confirm the engagement in writing. Quotations are valid for a maximum period of thirty (30) calendar days from the date of issue unless otherwise stated in the quotation.

An engagement is formed only upon the earliest of: (a) your written acceptance of a proposal, (b) our receipt of any applicable deposit or payment, or (c) the mutual execution of a Client Agreement.

Project scopes, deliverables, timelines, and fees are as stated in the accepted proposal or Client Agreement. Scope changes, additional deliverables, or out-of-scope requests will be assessed and quoted separately, and will only be performed after your written approval.

Section 05

Fees, Payment, and Billing

Fees for Services are stated in Nigerian Naira (₦) or such other currency as agreed. All fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for any taxes, levies, or duties imposed by your jurisdiction.

Payment terms are as set out in the applicable quotation, invoice, or Client Agreement. Unless otherwise agreed: a non-refundable deposit of fifty percent (50%) of the total fee is payable prior to the commencement of work, with the balance due upon delivery of the final deliverables, or such milestone schedule as agreed.

Where recurring or installment payment arrangements are agreed, failure to remit any installment by its due date may, at our discretion, result in suspension of work or access to the Services until payment is received.

Deliverables will only be transferred to you in full upon receipt of cleared funds for all fees owed. We may seek payment of any overdue amount through the available legal and administrative channels, and you agree to reimburse us for reasonable collection costs.

Payments made are generally non-refundable, except where expressly provided for in these Terms, in a Client Agreement, or where required by applicable consumer protection law.

Section 06

Cancellation, Rescheduling, and Refunds

Training programs, courses, and workshops: If you cancel a registered seat at least fourteen (14) calendar days before the scheduled start date, we will provide a refund of any amounts paid less a processing fee, or offer a full credit redeemable toward a future program, at our option. Cancellations made within fourteen (14) days of the start date are non-refundable, though you may transfer your seat to another individual for the same program.

Consulting and production engagements: Any engagement fees paid are non-refundable once work has commenced. If you terminate an engagement early for reasons outside of a material breach by Axion Stride, fees for work completed and committed will remain payable.

Rescheduling: We will make reasonable efforts to accommodate requests to reschedule training dates, subject to availability and to notice provided at least seven (7) calendar days in advance. Axion Stride reserves the right to reschedule or cancel a program due to inadequate enrollment, instructor unavailability, or force majeure, in which case you will be offered a full refund or a credit toward a future program.

Refunds will be processed to the original payment method within fourteen (14) business days of approval.

Section 07

Intellectual Property Rights

As between you and Axion Stride, all intellectual property rights in the Website, including its design, text, graphics, logos, brand assets, photographs, video content, training materials, curricula, frameworks, methodologies, templates, and software (the "Content") are owned by Axion Stride or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Content for your personal, non-commercial use, solely in connection with the Services for which you have engaged us. You may not copy, reproduce, republish, download, post, modify, broadcast, sublicense, sell, or create derivative works from any part of the Content, except as expressly authorized in writing.

Upon receipt of payment in full, ownership of any bespoke deliverables (such as websites, brand systems, reports, or campaign assets) created specifically for you under a Client Agreement vests in you, subject to the following: (a) Axion Stride retains ownership of its underlying frameworks, methodologies, processes, and pre-existing tools; and (b) where third-party materials, software, fonts, images, or platforms are incorporated into a deliverable, your rights are subject to the licenses of those third parties.

The Axion Stride name, logo, and related marks are trademarks of Axion Stride and may not be used without our prior written consent. You agree not to use any trademark or service mark of ours in a manner likely to cause confusion.

We retain the right to use, in our portfolio and marketing materials, any work product or deliverables produced for you, unless you have requested confidentiality in writing or applicable law restricts such use.

Section 08

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with an engagement, including business plans, financial data, client and supplier lists, proprietary methodologies, trade secrets, technical data, and unannounced projects.

Each party agrees to hold the other's Confidential Information in strict confidence, to use it solely for the purpose of performing its obligations under the engagement, and to disclose it only to those personnel who need to know it and who are bound by obligations of confidentiality.

These obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is independently developed without reference to the disclosing party's information; or (d) is required to be disclosed by law, court order, or regulatory authority, provided that the receiving party gives prompt notice where permitted.

These confidentiality obligations survive the termination or expiration of these Terms and any Client Agreement, and the completion of the relevant Services.

Section 09

Acceptable Use and Prohibited Conduct

You agree to use the Website and Services only for lawful purposes and in a manner consistent with these Terms. In connection with your use of the Services, you shall not:

  • Upload, post, transmit, or otherwise make available any unlawful, defamatory, fraudulent, infringing, abusive, threatening, or obscene content.
  • Attempt to gain unauthorized access to any part of the Website, our systems, or the systems of our clients or other users.
  • Interfere with, disrupt, or overload the Website or its supporting infrastructure, or introduce any virus, malware, worm, or other harmful code.
  • Reverse engineer, decompile, or disassemble any software or platform provided as part of the Services.
  • Use the Services to resell, rebrand, or repackage content or training materials without our written authorization.
  • Misrepresent your identity, affiliation, or qualifications, including impersonating any Axion Stride personnel.
  • Use the Services in a manner that violates the rights of our clients, partners, or any third party.
Section 10

No Guarantee of Specific Results

Axion Stride commits to professional standards of service, but we do not and cannot guarantee any specific business, financial, academic, or career outcome as a result of any engagement, training program, or advisory service. Results depend upon factors beyond our control, including your execution, market conditions, and organizational circumstances.

Unless expressly stated in a signed Client Agreement in writing, all Services are provided on a best-efforts basis, and no representation, warranty, or guarantee is made regarding any particular level of revenue, growth, ranking, placement, or performance.

Section 11

Client Content and User Submissions

You retain ownership of all content, data, and materials you submit to us in connection with the Services ("User Content"). You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and process User Content solely for the purpose of providing the Services to you.

You represent and warrant that you own or have all necessary rights, licenses, and permissions in User Content, and that User Content does not infringe the intellectual property rights or other rights of any third party.

If you believe that any content on the Website or produced in connection with the Services infringes your copyright or other rights, please contact us at hello@axionstride.com with the details required for us to assess and, where appropriate, address the matter.

Section 12

Third-Party Services and Links

The Website and certain Services may contain links to, or integrate with, third-party websites, platforms, applications, and services, including payment processors, video-hosting platforms, analytics providers, and marketing tools. These third-party services are governed by their own terms of service and privacy policies, and we are not responsible for their availability, content, security, or practices.

Your use of any third-party service is at your own risk. We do not endorse and are not responsible for any third-party products, services, or content referenced on the Website.

Section 13

Disclaimer of Warranties

The Website and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. To the fullest extent permitted by law, we disclaim all liability arising from your use of, or inability to use, the Website or the Services.

Nothing in these Terms operates to exclude or limit warranties or liability that cannot be excluded or limited under applicable law.

Section 14

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Axion Stride, its directors, officers, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with your use of the Website or the Services, whether based on contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate cumulative liability to you for all claims arising out of or relating to these Terms, the Website, or the Services shall not exceed the total fees you have actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Where a service is provided pro bono, at a discounted rate, or as part of a government- or donor-funded program, and no fee is payable by you, our aggregate liability to you shall be limited to the amount of One Hundred Thousand Naira (₦100,000) or the equivalent, to the extent permitted by law.

Section 15

Indemnification

You agree to indemnify, defend, and hold harmless Axion Stride and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:

  • Your use of, or inability to use, the Website or the Services.
  • Your violation of these Terms or any applicable law or regulation.
  • Your User Content or any other content you submit through the Services.
  • Any dispute between you and any third party arising from your use of the Services.
Section 16

Suspension and Termination

We may suspend or terminate your access to the Website or the Services, in whole or in part, at any time, with or without notice, if you breach these Terms, if we reasonably believe such action is necessary to protect our interests or those of other users, or for any other lawful reason.

Upon termination, your right to access the Services ceases immediately, and you must cease all use of the Services and delete or destroy any copies of Content in your possession. Termination does not relieve you of any payment obligations accrued prior to termination.

Sections of these Terms that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, indemnification, governing law, and dispute resolution — shall survive any termination or expiration of these Terms.

You may terminate your engagement as described in the applicable Client Agreement or in Section 06 (Cancellation, Rescheduling, and Refunds) of these Terms.

Section 17

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms or any Client Agreement to the extent such failure or delay results from any cause beyond that party's reasonable control, including but not limited to acts of God, war, civil unrest, terrorism, natural disaster, epidemic or pandemic, government action or regulation, power or telecommunications failure, internet or cloud-service outage, or unavailability of key personnel.

The affected party will promptly notify the other party of any such event and will use commercially reasonable efforts to resume performance; however, an event of force majeure lasting more than sixty (60) days shall entitle either party to terminate the affected engagement without liability, save for payment for work performed prior to termination.

Section 18

Amendments to These Terms

We reserve the right to amend these Terms at any time in our sole discretion. When we do, we will revise the "Last Updated" date at the top of these Terms and, where material changes are made, we will use reasonable efforts to notify you, including by posting a notice on the Website.

Your continued use of the Website or the Services after any amendment takes effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for updates.

Section 19

Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No failure or delay by Axion Stride in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. A waiver of any provision on one occasion shall not constitute a waiver of that provision on any other occasion.

Section 20

Entire Agreement and Assignment

These Terms, together with any Client Agreement and any policies referenced herein, constitute the entire agreement between you and Axion Stride with respect to the subject matter hereof and supersede all prior communications, representations, and agreements, whether written or oral.

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or to a successor in the event of a merger, acquisition, or sale of all or substantially all of our assets, provided that the assignee assumes our obligations hereunder.

Section 21

Governing Law and Dispute Resolution

These Terms, and any engagement arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or any engagement shall first be referred to negotiation between the parties in good faith for a period of thirty (30) calendar days. If the dispute is not resolved through negotiation, either party may refer the matter to the Lagos Multi-Door Courthouse or to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, before a single arbitrator appointed by agreement of the parties.

The parties agree that any arbitration award shall be final and binding, and judgment thereon may be entered in any court of competent jurisdiction. Unless otherwise required by law or agreed in writing, arbitration shall be conducted confidentially.

Each party shall bear its own legal costs in connection with any negotiation or arbitration, subject to the tribunal's or court's discretion to award costs.
